About the Role:
Stein Law seeks to add a junior associate attorney to our corporate and tax transactional practice.  Stein Law specializes in estates and trusts, corporations, tax controversy and tax planning, with more than 45 years combined experience.  The associate will work directly with senior associates and partners on sophisticated, high-stakes matters such as mergers and acquisitions, joint ventures, real estate and private fund transactions, and tax-driven planning structures.  The ideal candidate is a young lawyer who wants to receive intensive training, be held to a high standard, take substantive responsibility early, and build a career.  This position is on-site only.

Our Firm:
Stein Law advises startups, entrepreneurs, investors, family offices, and multi-generational family businesses on corporate, transactional, tax, and estate and trust matters.  Our work spans the full life cycle of a business, from entity selection and formation through financing, joint ventures, acquisitions, and succession, and frequently involves entities and investors operating across multiple jurisdictions.  Our practice is collaborative and communication-driven: associates work closely with senior attorneys and see how each matter fits the client’s short- and long-term objectives.

What You Will Work On:
•         Transactions. Draft, review, and mark up corporate governing instruments such as operating agreements and partnership agreements, purchase and sale agreements, NDAs, management agreements, and related transaction documents, and track negotiated changes across drafts.

•         Due diligence. Review entity documents, contracts, trust instruments, and financial statements; identify risks, inconsistencies, and gaps; and prepare clear issue lists and diligence memoranda.

•         Research and writing. Research the Internal Revenue Code, Treasury Regulations, court decisions, and secondary authorities.  Prepare legal memoranda and client-ready analysis that answer the question asked and translate research into practical recommendations.

•         Private offerings. Assist in drafting private placement memoranda, subscription documents, and related materials for private fund and Regulation D offerings.

•         Wealth and entity planning. Support advanced planning work, including Private Placement Life Insurance (PPLI) structures, holding-company structures, and family office arrangements.  Draft client proposals involving various tax strategies.

•         Governance and disputes. Assist with entity formation, corporate maintenance, and governance matters, including analysis of member and shareholder rights and remedies under state code and statutes.

•         Collaboration. Coordinate with colleagues, opposing counsel, and clients’ other advisors, such as CPAs and financial professionals.

•         Professional development. Complete the requirements of TILPP, with time and support from the firm.

Qualifications:
•         J.D. from an ABA-accredited law school.

•         Admitted to practice, or sitting for the next administration of the bar examination.

•         Strong academic record and excellent legal research and writing skills.

•         Coursework or demonstrated interest in business associations, federal income tax, corporate and partnership taxation, and international taxation.  A background in accounting, finance, or another analytical field is welcome; an LL.M. in Taxation or CPA credential is a plus but not required.

•         Meticulous attention to detail and comfort working with numbers, financial statements, and tax returns.

•         Proficiency with Microsoft Word, Excel, and standard legal research platforms, and willingness to use technology, including AI-assisted research and drafting tools, responsibly and under attorney supervision.

•         A strong work ethic and real enthusiasm for transactional and tax work: someone who finds a complex structure or a difficult drafting problem interesting rather than tedious.

•         Intellectual curiosity, receptiveness to direct feedback, a commitment to professional ethics, a professional demeanor with clients and colleagues, and a good sense of humor.
